Tradis Signed Letter of Intent for Acquisition of Nadwiślanka SA Wholesale Business

The Tradis Wholesale Group and Nadwiślanka SA have signed a Letter of Intent for acquisition of the wholesale assets of the Toruń-based company. Before it can go ahead, the transaction requires the consent of the Office for Competition and Consumer Protection (UOKiK). Tradis has already filed with UOKiK a notification of intended concentration.

Nadwiślanka SA has been involved in FMCG wholesaling in the Kujawsko-Pomorskie Region since 1989. It operates the largest sales facility in the Kujawsko-Pomorski Region, where over 7,000 products are offered on 4,500 sq. m of selling space. The facility also includes 660 sq. m of cold storage space. Nadwiślanka SA offers self-service shopping and with delivery to the client. Its clients include retail stores, wholesalers, catering establishments, public institutions, and private businesses. In 2010, the company’s wholesale business sales were in excess of PLN 71 million.

“For 22 years now Nadwiślanka SA has operated as a stand-alone food product wholesaler. In the 1990s, the integration of our industry began. We participated in it by setting up associations and procurement groups with our business partners. We were also actively involved in projects with Emperia and Tradis. We got to know the organisation and the people. We are well aware that the concentration of the consumer goods wholesale market is only a question of time. We desire to be part of the process, so that our existing operations continue as part of a strong Wholesale Group, to the benefit of our clients,” said Mr Antoni Pankiewicz, Chairman of Management Board, Nadwiślanka SA.

The acquisition of the assets of the Toruń-based company will be financed with the internal cash flows of Tradis.

“The execution of the Letter of Intent for the acquisition of the wholesale business of Nadwiślanka SA is part of the Tradis Wholesale Group’s strategy aimed at achieving the leadership of the Polish FMCG distribution. We are proposing to attain that objective by an intensive organic growth, and we invite other Polish companies to join us. We have resumed negotiations with companies that had expressed interest in becoming part of the Tradis organisation, suspended after the Investment Agreement had been concluded with Eurocash. The acquisition of the wholesale business of Nadwiślanka SA will be their first effect, and the next ones are expected to follow in the next few months,” said Mr Kazimierz Mars, Chairman of Management Board, Tradis Sp. z o.o.

The Tradis Wholesale Group is involved in wholesaling of FMCG products through cash&carry facilities and Distribution Centres located throughout Poland. Our clients include franchise chains, PSD with Społem Cooperatives, retail associations, and supermarkets. Tradis specialises in supplying retail chains, of which it currently serves 10,000, including as many as 8,800 chains with more than 100 outlets. The Company is also the key supplier to over 1,400 Orlen and Bliska service stations.
