Emperia Holding S.A. Among Largest Wholesalers in Poland

21-05-2008

Emperia Holding S.A. has been placed fourth among Top Wholesalers, a ranking list compiled by Detal Dzisiaj biweekly.

The scope of operations, wide and readily available product range, and the consolidation processes, of which Emperia is the national leader, were the principal factors behind Emperia’s top spot.

The authors of the ranking list stress that the consolidation processes are mainly responsible for the current situation in the Polish FMCG wholesale market. Companies which, like Emperia, embarked on consolidation projects early enough can now enjoy the fruits of their correct decisions. According to Detal Dzisiaj, the future of the market is in the hands of strong groups of companies. Small wholesalers will either have to join the larger organisations or face them.

“I am happy to see Emperia so high up on the ranking list. This proves that our decisions and the successful consolidation processes have won recognition. But we still want to improve on that. Recently, we have started the integration of Emperia’s wholesale subsidiaries into a single business, to operate under the name of Tradis. The process is scheduled to complete by 1 July 2009. It will benefit above all our clients who—when doing business with Tradis, a single partner throughout Poland—will have access to a wide range of FMCG products, top-rate logistic services, and attractive business terms,” said Jarosław Wawerski, Vice-Chairman of Management Board for the Wholesale Business, Emperia Holding S.A., and Chairman of Management Board of the newly-established Tradis.

Emperia Holding S.A. has been gradually improving its standing in the market, as reflected by various prestigious ranking lists. Recently, the company has been ranked seventh among the largest Polish retailers, now Detal Dzisiaj biweekly placed in fourth among the largest wholesale companies. Emperia has been placed among the 100 most valuable Polish companies by Newsweek, ranked 37th on the Rzeczpospolita daily 500 List, and 30th among Polityka’s Five Hundred companies for 2007. Polityka has also placed Emperia eighth among the largest public companies. Gazeta Giełdy Parkiet stock exchange daily has named Emperia one of the three most valuable companies quoted on the Stock Exchange in Warsaw (Stock Exchange Pearls) and the leader of the Trade and Consumption sector.

Company Background Information:

Emperia Holding has been consistently pursuing the consolidation of the retail and wholesale FMCG market in Poland. Following the 2006 takeover of the BOS Group (56 branches and 81 outlets in Eastern and North-Western Poland), in July 2007 it incorporated Społem Tychy (36 retail outlets in the Śląskie Region), and in September the Centrum subsidiaries (13 retail outlets in the Warmińsko-Mazuskie Region of Poland) and Maro-Markety (18 retail outlets located in the Wielkopolskie and Opolskie Regions of Poland).

In June 2007, the decision was made to acquire 100 percent of the wholesale subsidiaries of Sydo in Wrocław and Alpaga Xema in Poznań. October saw the incorporation of Euro Sklep S.A. (265 retail franchises and proprietary outlets operating in the Śląskie, Opolskie, Dolnośląskie, and Małopolskie Regions of Poland), and in November Emperia Holding acquired Sklepy Polka (74 outlets in the Podlaskie and Świętokrzyskie Regions). In December, Retail Services Poland (27 retail franchises) was taken over.

The acquisitions continued in 2008. In February the Holding incorporated Lewiatan Dolny Śląsk and Lewiatan Zachód, and Lewiatan Orbita in April. Emperia also concluded the Strategic Cooperation Agreement with Lewiatan Holding, opening the door to a full equity integration with Lewiatan. The company has set its sights on further acquisitions, and talks are well under way with partners seeking to join Emperia Holding.

Emperia Holding S.A. has been in the Polish market for 18 years now. Its operations fall into two major business segments: retail (among others Stokrotka and Stokrotka Premium, Groszek, Milea, Lewiatan Podlasie, Zachód, Dolny Śląsk, and Orbita, Społem Tychy, Jaskółka, Centrum, Euro Sklepy) and wholesale (9 subsidiaries: Tradis, BOS, DLS, Sygel-Jool, DEF, Express Podlaski, Sydo, Alpaga-Xema, and an importing and exporting arm, Arsenal). In April, the process of integrating selected wholesale companies into a single business under the business name of Tradis kicked off. Both business segments of Emperia boast a workforce of close to 11,000.
